Welcome to SR Valuation Inc., operator of the SRV website and BVM valuation services. These Terms of Use ("Terms") govern your access to and use of our website at https://srvaluation.com (the “Site”) and your purchase or use of any valuation services, digital deliverables, or related content made available through the Site (the “Services”).
By using the Site or purchasing Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
1. Eligibility
You must be of legal age in your jurisdiction and legally capable of entering into binding contracts. SRV’s Services are intended for use by professionals in investment, legal, advisory, or corporate roles. Use by minors or for consumer, recreational, or academic purposes is not permitted.
2. Digital Services Only
SRV provides digital valuation and benchmarking services, including automated and semi-automated reports delivered via email or online interface in electronic format (PDF or equivalent). No physical goods will be shipped or delivered.
3. Professional Use Disclaimer
Our Services are offered for professional and informational use only. They do not constitute legal, financial, accounting, or investment advice. SRV assumes no responsibility for how clients use or interpret the valuation reports. Clients are solely responsible for compliance with applicable legal, tax, or regulatory frameworks in their own jurisdiction.
4. Service Delivery
Estimated delivery times are: 24 hours (Level 1 report) and 48 hours (Level 2 report and Traceability report). Services are available only during our regular business hours (Canada, Eastern Time). Timelines may vary based on workload, completeness of client data, or communication delays. SRV is not liable for delays caused by user inaction or incomplete submissions.
5. Pricing and Currency
Pricing is location specific. Pricing is displayed based on the user’s IP-geolocated region. SRV reserves the right to adjust prices and pricing tiers without prior notice.
6. No Refund Policy
Due to the customized and irreversible nature of our valuation reports, all sales are final once generation or analysis has begun. Refunds will not be issued due to subjective dissatisfaction, including disagreement with valuation conclusions.
7. Refund for Insufficient Comparables
If SRV determines that no sufficient or relevant set of comparables can be identified when performing a BVM service, a full refund will be issued:
- Refunds are processed to the original method of payment
- Processed within 10 business days of approval
- Only available if no report or draft has been delivered
8. License and Use
You are granted a limited, non-exclusive, non-transferable license to use the report(s) solely for internal, professional purposes. You may not copy, distribute, commercialize, or reverse-engineer any portion of SRV’s reports or valuation logic without prior written authorization.
9. Intellectual Property
All valuation frameworks, logic, reports, written content, and branding on the Site are the exclusive intellectual property of SR Valuation Inc. or its licensors. Unauthorized use, reproduction, or disclosure is strictly prohibited and may result in legal action.
10. Contact During Service Execution
In some cases, SRV may contact you during the Service to: clarify incomplete or ambiguous responses, request additional inputs for comparable searches or to validate draft valuation results. Such communications will be made from an official @srvaluation.com email address. Clients are responsible for monitoring their email inbox and responding promptly to avoid processing delays.
11. Privacy and Disclosure of Information
Your privacy is important to us. Please refer to our [Privacy Policy] for details on data collection and use. SRV may disclose personal information where required to either comply with legal obligations, respond to regulatory inquiries, protect SRV’s legal rights or those of other users or prevent fraud, abuse, or harm. We do not sell your data or share it with third parties beyond those necessary for operational delivery of the Services.
12. Use Restrictions and Acceptable Conduct
You agree not to:
- Use the Site or Services in any unlawful manner
- Attempt unauthorized access to our systems
- Interfere with or disrupt the integrity of the Site or Services
- Misrepresent your identity or the purpose of your valuation
Misuse of the Site may lead to termination of access and legal remedies.
13. Disclaimer of Warranties
The Services are provided “AS IS” and “AS AVAILABLE” without warranty of any kind. SRV disclaims all express or implied warranties, including warranties of: accuracy or completeness of data, merchantability or fitness for a particular purpose, absence of viruses or harmful components. Some jurisdictions do not allow disclaimers of certain warranties. If so, these limitations may not apply to you in full.
14. Limitation of Liability
SRV will not be liable for any indirect, incidental, consequential, or punitive damages including loss of profit, data, or opportunity. Our maximum liability in any circumstance is limited to the amount paid by you for the specific Service in dispute.
15. Indemnity
You agree to indemnify and hold harmless SR Valuation Inc., its officers, employees, and affiliates from any claims, losses, or liabilities (including legal fees) arising out of your breach of these Terms, your misuse of the Services, or violation of applicable laws.
16. Termination
SRV may terminate your access to the Site or Services at any time and for any reason, including breach of these Terms. Upon termination, all rights granted under these Terms immediately revert to SRV. Any clauses that survive termination (e.g., IP, liability, indemnity) will remain in effect.
17. Modifications
SRV may update these Terms at any time, with or without notice. It is your responsibility to review the Terms periodically. Continued use of the Site or Services after any update constitutes acceptance of the new Terms.
18. Governing Law
These Terms are governed by the laws of the Province of Quebec and the laws of Canada applicable therein. Any dispute shall be submitted exclusively to the competent courts in the judicial district of Montreal, Quebec.
